Welcome to Scale GEO! These Terms of Service ("Terms") govern your use of the Scale GEO website at https://scale-geo.com ("Website") and the services provided by Scale GEO. By using our Website and services, you agree to these Terms.

1. Acceptance of Terms

By accessing the Website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Website.

2. Description of Scale GEO

Scale GEO is a GEO-native programmatic content agency that builds and deploys structured, LLM-optimized content systems at scale for SaaS and eCommerce brands.

3. Services and Deliverables

Scale GEO provides content strategy, programmatic content production, and generative engine optimization services as outlined in your individual client agreement. Service terms, deliverables, and guarantees are specified in each client's contract.

Our services include but are not limited to: content ideation and production, Reddit narrative engineering, entity grounding optimization, LLM-focused content systems, and generative visibility strategies. Specific deliverables vary by engagement and are detailed in your signed service agreement.

Service Conditions: Scale GEO services are contingent upon client cooperation, timely provision of required information, and adherence to all applicable laws and third-party platform terms of service. Services may be suspended or modified if client fails to comply with these conditions or if third-party platforms change their policies in ways that affect service delivery.

3.1 90-Day Citation Increase Guarantee

Guarantee Offer: Scale GEO offers a 90-day guarantee on citation increase performance. If, after 90 days of service, Scale GEO has not demonstrably increased how often your brand is cited in AI-generated answers (as measured by Scale GEO's citation tracking methodology), Scale GEO will continue providing services at no additional charge for an extended period until measurable citation increases are achieved, subject to all conditions and limitations outlined in this section.

CRITICAL CONDITIONS - Guarantee is VOID if any of the following apply:

• Client Non-Compliance: Client has failed to adhere to all applicable laws, regulations, third-party platform terms of service (including but not limited to Reddit, Google, OpenAI, Anthropic, and other platforms), or community guidelines.
• Content Policy Violations: Client content has been flagged, removed, suspended, or penalized by any third-party platform, or client has received warnings or violations from platforms.
• Recommendation Non-Implementation: Client has failed to implement, approve, or deploy Scale GEO's strategic recommendations, content, or guidance within agreed timeframes.
• Insufficient Participation: Client has not provided required information, feedback, approvals, or participation necessary for Scale GEO to execute services (including but not limited to content review, strategy alignment, or account access).
• Third-Party Platform Changes: Third-party platforms (Reddit, Google, OpenAI, Anthropic, Perplexity, or other AI systems) have changed their algorithms, policies, terms of service, indexing behavior, or citation mechanisms in ways that materially impact citation visibility, regardless of Scale GEO's efforts.
• Account Suspension or Bans: Client's accounts on third-party platforms have been suspended, banned, shadowbanned, or restricted by the platform for any reason.
• Market or Competitive Changes: Significant changes in market conditions, competitive landscape, industry disruption, or other factors beyond Scale GEO's reasonable control have materially impacted citation visibility.
• Payment Default: Client is in default on any payment obligations or has failed to pay invoices on time.
• Breach of Agreement: Client has breached any material term of this Agreement or their signed service agreement.
• Insufficient Service Duration: Client has not maintained continuous service for the full 90-day period or has cancelled, paused, or suspended services before the 90-day period is complete.

Measurement and Verification: Citation increases are measured using Scale GEO's proprietary citation tracking methodology, which monitors AI-generated answers across ChatGPT, Perplexity, Claude, Gemini, Bing, and other generative AI systems. Scale GEO's tracking data is the sole source of truth for measuring citation performance. Client acknowledges that citation frequency may fluctuate due to factors beyond Scale GEO's control and that "increase" is measured as a net positive trend over the 90-day period, not as guaranteed consistent daily increases.

Guarantee Fulfillment: If the guarantee conditions are met and citation increases have not been achieved, Scale GEO will continue providing services at no additional charge (extended service period) until measurable citation increases are demonstrated. The extended service period is limited to a maximum of 60 additional days beyond the initial 90-day period, after which normal service fees resume. Extended service is subject to all other terms of this Agreement and may be terminated by either party with written notice.

Guarantee Does Not Include: The guarantee does not include refunds of fees already paid, service credits, or compensation for lost revenue or business opportunity. The guarantee remedy is limited exclusively to continued service provision at no additional charge for the extended period specified above.

Guarantee Claim Process: To claim the guarantee, client must provide written notice to Scale GEO within 30 days of the 90-day period end date, including documentation of: (1) full compliance with all conditions above; (2) evidence of service participation and content deployment; and (3) acknowledgment that no platform violations or account restrictions have occurred. Scale GEO will verify the claim and respond within 10 business days.

Exclusive Remedy: The guarantee remedy outlined above is the exclusive remedy for failure to achieve citation increases. Client waives any right to claim damages, seek refunds, pursue legal action, or claim breach of contract based on citation performance, provided that Scale GEO has complied with all material terms of this Agreement and the guarantee conditions have been met.

4. No Professional Advice

Information provided on the Website is for general informational purposes and does not constitute legal, financial, or other professional advice. Scale GEO is not a substitute for professional legal, financial, or business consulting. Clients should consult with appropriate professionals before making business decisions based on our services or recommendations.

5. User Data and Privacy

We collect and store user data, including name, email, company information, and payment information, as necessary to provide our services and fulfill contractual obligations. For details on how we handle your data, please refer to our Privacy Policy. By using our Website or services, you consent to the collection and use of your data as described in our Privacy Policy.

6. Non-Personal Data Collection

We use web cookies, analytics tools, and similar tracking technologies to collect non-personal data for the purpose of improving our services, understanding user behavior, and optimizing the Website experience. You may disable cookies through your browser settings, though this may limit functionality.

7. Payments and Billing

If you purchase services from Scale GEO, payment terms are governed by your client agreement or invoice. Unless otherwise stated, invoices are due upon receipt. Late payments may result in paused work, delayed deliverables, or service suspension. Scale GEO reserves the right to pursue collection of unpaid invoices, including through legal action. All fees are exclusive of applicable taxes unless otherwise stated.

Refunds are not available except as required by law or as explicitly stated in your signed service agreement. Partial month services are non-refundable.

8. Intellectual Property

All content, templates, methodologies, systems, tools, and processes developed by Scale GEO remain the intellectual property of Scale GEO unless otherwise specified in your client agreement. This includes but is not limited to our GEO methodology, content frameworks, Reddit narrative engineering techniques, and entity grounding systems.

Content produced for clients (including blog posts, articles, and other deliverables) becomes the property of the client upon full payment. However, Scale GEO retains the right to use anonymized case studies, methodologies, and general approaches in our marketing and business development.

Clients agree not to reverse engineer, copy, or reproduce our methodologies, templates, or proprietary systems without written permission.

9. Client Responsibility and Compliance

Clients are solely responsible for ensuring that their use of Scale GEO services complies with all applicable laws, regulations, and third-party platform terms of service. This includes but is not limited to:

• Compliance with Reddit, Google, OpenAI, and other platform terms of service
• Ensuring content does not violate platform policies or community guidelines
• Obtaining all necessary rights, licenses, and permissions for content
• Compliance with FTC guidelines, advertising standards, and disclosure requirements
• Compliance with all applicable consumer protection and privacy laws
• Ensuring that client content and use of services does not infringe third-party intellectual property rights

Scale GEO shall not be liable for any violations of platform terms, legal requirements, or third-party rights resulting from client content, client instructions, or client use of services. Clients indemnify Scale GEO for any claims arising from client content or client compliance failures.

10. Prohibited Use

You agree not to misuse the Website or services, including but not limited to:

• Attempting to gain unauthorized access to our systems or networks
• Disrupting or interfering with site functionality or services
• Scraping, crawling, or automated data collection at scale
• Using the Website in violation of applicable laws or regulations
• Harassing, threatening, or abusing Scale GEO staff or other users
• Attempting to circumvent security measures or restrictions
• Reverse engineering or attempting to derive our proprietary methodologies
• Using our services for illegal, fraudulent, or deceptive purposes
• Violating third-party platform terms of service or community guidelines
• Using services to create content that violates platform policies

11. Third-Party Links and Services

The Website may contain links to third-party sites, services, and platforms. We are not responsible for the content, policies, practices, or availability of third-party websites or services. Your use of third-party services is governed by their terms and privacy policies. Scale GEO does not endorse any third-party services unless explicitly stated.

12. Disclaimers and No Guarantees

IMPORTANT: Scale GEO makes NO GUARANTEES of results, outcomes, or performance. The Website and any services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

Scale GEO expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and title. Scale GEO does not warrant that services will be uninterrupted, error-free, or meet your expectations.

Specifically, Scale GEO does not guarantee:

• Search engine rankings or visibility improvements
• LLM citations, mentions, or generative engine placement
• Traffic increases, lead generation, or revenue growth
• Reddit visibility, upvotes, engagement metrics, or account standing
• Brand awareness, reputation improvements, or market share gains
• Specific return on investment (ROI) or financial results
• Uninterrupted or error-free service availability
• That third-party platforms (Reddit, Google, LLMs, etc.) will not change their algorithms, policies, or terms of service
• That content will not be flagged, removed, or penalized by third-party platforms
• Compliance with third-party platform policies or guidelines
• That services will achieve any specific business objective or outcome

Results vary significantly based on market conditions, competition, platform algorithms, client execution, third-party platform changes, and factors beyond Scale GEO's control. Past performance does not guarantee future results. All case studies and examples are illustrative only and may not be representative of typical outcomes. Client success depends on numerous variables including but not limited to industry, market saturation, competitive landscape, and proper implementation of recommendations.

Platform Dependency Disclaimer: Scale GEO services depend on third-party platforms (including but not limited to Reddit, Google, OpenAI, Anthropic, and other generative AI systems) that may change their algorithms, policies, terms of service, or availability at any time without notice. Scale GEO has no control over these platforms and cannot guarantee continued access, functionality, or performance. Changes to third-party platforms may render strategies ineffective or require service modifications. Scale GEO shall not be liable for any impacts resulting from third-party platform changes.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALE GEO SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunity
• Loss of goodwill or reputation
• Damages arising from service interruptions, delays, or unavailability
• Damages arising from third-party platform changes, algorithm updates, policy modifications, or account suspensions
• Any damages arising from your use or inability to use our services
• Damages from content removal, flagging, or penalties by third-party platforms
• Damages from platform bans, shadowbans, or account restrictions
• Damages from changes in search engine rankings or visibility
• Damages from changes in LLM behavior, outputs, or availability
• Any claims arising from client negligence, misuse, or failure to follow recommendations
• Damages from competitive actions or market changes

In no event shall Scale GEO's total liability exceed the amount paid by you in the 12 months preceding the claim, or $100, whichever is greater. This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if Scale GEO has been advised of the possibility of such damages.

Some jurisdictions do not allow limitations on liability for certain types of damages. To the extent such limitations are unenforceable in your jurisdiction, Scale GEO's liability shall be limited to the maximum extent permitted by applicable law.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the jurisdiction and venue of such courts.

15. Termination and Cancellation

Scale GEO may terminate or suspend your access to services at any time, with or without cause, and with or without notice. Upon termination, your right to use the services immediately ceases. Sections regarding payment obligations, intellectual property, disclaimers, and liability limitations survive termination.

Clients may cancel services by providing written notice as specified in their service agreement. Cancellation does not entitle you to refunds of fees already paid.

16. Modifications to Terms and Services

We may update these Terms from time to time. Updates will be posted on this page with a revised "Last Updated" date. Your continued use of the Website or services following such modifications constitutes your acceptance of the updated Terms. We may also modify or discontinue services at any time with or without notice.

17. Indemnification

You agree to indemnify, defend, and hold harmless Scale GEO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of the Website, violation of these Terms, or infringement of any third-party rights.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with any signed service agreement and our Privacy Policy, constitute the entire agreement between you and Scale GEO regarding your use of the Website and services. These Terms supersede all prior agreements and understandings.

20. Waiver

The failure of Scale GEO to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by Scale GEO.
